Grizzly Club Bylaws

Purpose:

The Grizzly Club was formed to provide community encouragement and financial support for the Missouri State University-West Plains Grizzly athletic teams.

Members Defined:

A member is defined as a current Grizzly Club paying member whether person, organization, or corporation. Current members are entitled to attend or appear at the monthly meetings.

Article I

Executive Committee

Section 1: General Purpose

The business and organization of the Grizzly Club shall be controlled and managed by its Executive Committee.

Section 2: Responsibilities

As an executive committee member you are expected to:

  • help in the promotion and recruitment of club members;
  • take an active role in direct fundraising events such as the Grizzly Golf Classic and others as determined;
  • attend home athletic games;
  • raise support/funds for Grizzly Athletic scholarships;
  • attend meetings - if a member misses four (4) consecutive meetings the committee may take action to remove that member from the committee.

Section 3: Number, Tenure and Qualifications

The number of members to constitute the Executive Committee shall be at least twelve (12) to a maximum of eighteen (18). Any change in the number of members shall be made only by amendment to the bylaws to be voted on by the participating members. There shall be no term limit upon the individual directors. Each director may be elected to serve a three year term as many times as elected by the participating members. The president of the organization shall appoint a nominating committee in February each year to present nominations to be voted on in March and be installed at the April meeting for the Executive Committee.

Section 4: Regular Meetings

The Executive Committee shall meet monthly. The meetings will be held the first Thursday of each month. The meetings shall commence at 9:00 a.m. The meetings shall be opened to participating members. Regular meeting may be rescheduled due to weather, holiday, or other scheduling conflicts.

Section 5: Special Meetings

Special meetings of the Executive Committee may be called by or at the request of the president of the Grizzly Club or any three directors. The person or persons authorized to call special meetings may fix any place, within the City of West Plains, as the place for holding any special meeting of the Executive Commitee called by them.

Section 6: Quorum

A majority of the number of members fixed by the bylaws shall constitute a quorum for the transaction of business at any meeting of the Executive Committee, provided that if less than a majority of members are present they may adjourn. The act of the majority of the members present at a meeting at which a quorum is present shall be the act of the Executive Committee. In the absence of a quorum, a vote may be taken to allow those absent to vote via email, text and/or phone so that business can be completed.

Section 7: Vacancies

Whenever any vacancy of a member of the Executive Committee shall occur due to death or resignation or otherwise, the remaining members will fill vacancies as needed.

Section 8: Compensation.

Executive Committee members shall not receive compensation as such for their services, but may be reimbursed for his/her approved expenses, if any, incurred to further the purposes of the organization.

Article II

Officers & Ex-Officio

Section 1:

The officers of the organization shall be a president, vice-president, a secretary, and such other officers as may be elected or appointed by a vote of the participating members. No more than one office may be held by the same individual. Officers will be selected from members serving on the Executive Committee. Ex-officio members (defined as non-voting member of the body) consist of the chancellor, athletic director, associate vice chancellor for community programs and athletics, university advancement representative, and coaches of the athletic teams of Missouri State University–West Plains.

Section 2: Election and Term of Office

The officers of the organization shall be elected annually by the Executive Committee at the March monthly meeting which shall be known as the annual meeting of the organization. The officers shall be installed beginning at the April meeting the year they are elected to serve. Vacancies may be filled at any monthly meeting of the Executive Committee. An officer may be removed by a vote of the Executive Committee by a ballot vote and three-fourths (3/4) majority.

Section 3: President

The president shall be the principal executive officer of the organization and shall be in general control and manage the business and affairs of the organization. He/she shall preside at all meetings of the participating members, Executive Committee and officers and shall perform such other duties as may be prescribed from time to time.

Section 4: Vice-President

In the absence of the president or in the event of his/her inability or refusal to act, the vice-president shall have all the powers of and be subject to, all the restrictions upon the president and shall perform such other duties as from time to time may be assigned to him/her by the president.

Section 5: Secretary

In the absence of the president and the vice-president or in the event of his/her inability or refusal to act, the secretary shall have all the powers of and be subject to, all the restrictions upon the president and/or the vice-president and shall perform such other duties as from time to time may be assigned to him/her by the president. The secretary will also take the minutes in the absence of the university advancement office or in the case that the Executive Committee goes in to closed session.

Article III

Funding

Section 1:

All funds received by the Grizzly Club through contributions, in-kind benefits, equipment purchases, recruitment expenses, Grant-in-Aid, fundraising events, etc. shall pass directly to the Missouri State University Foundation and Missouri State University-West Plains and the financial records of the Grizzly Club shall be open and available to officials. The financial records will also be open to review by the public.

Section 2:

All transactions of the organization which assist the university athletic programs in any way shall be authorized by the chancellor or an employee designated by the president of Missouri State University.

Section 3:

All Grizzly Club funds used for Grant-in-Aid must be administered in compliance with Article VIII, Part A, Section 3 of the National Junior College Athletic Association which states "Grant-in-Aid shall be administered by the institution through the office, department or division which administers financial funds for enrolled students."
